EGM for October
OK.... what's going on having another EGM.? Putting fees up? Dealing with the future governance of BOF? Any clues?

There must be something in the water, as the SOA are also having an EGM, but in September.

The SOA EGM will be a bit boring - it is more to do with changes to the Articles of Association I believe.

Having to organise special EGM's for minor administrative issues seems a bit wasteful of time and money. Couldn't they just wait and roll them into the next scheduled AGM?
Do these EGM's require a specific number of attendees for the vote to be valid?
I seem to remember an SOA AGM that didn't have enough people at it so it couldn't pass any of the motions.
They don't sound as if they are going to be very exciting to attend, so is there any reason to? Can the proposals be rejected or are there alternative options?

Agreed, but the government (at least the UK one, not sure about Scotland) appears to have decreed that unless governing bodies comply by 31 October they make themselves ineligible for any funding - and I guess we still want some!
Not clear though why any changes needed weren't tackled at the AGM earlier this year - perhaps the Board(s) thought everything was okay, but the relevant Sports Councils disagreed. It will probably be things like targeting minimum 30% Board membership by gender; Chief Exec only being an ex-officio Board member; ensuring the primacy of the Board in decision making etc.
One thing I spotted in the Code (For Sports Governance) is that it is now clear that Independent Directors do not have to be from outside the sport; rather they must just have no recent "close connection" to the board / committees / employees etc. It will be interesting to see if in future the Board consider appointing people with a greater knowledge of the sport.

The British Orienteering Board currently comprises 6 Member Elected directors (i.e. they are highly likely to be orienteers), 3 Independent Directors and the CEO. You could argue that it's good to have non-orienteers fill the Independent Director posts. When I was Chair, I certainly found it interesting and beneficial to have input from people involved in sports that included rugby, running and water-polo.

Potentially they could be wasteful of time and money, which is why we've always sought to combine the EGM with another (much more interesting!) meeting. In this case, the EGM will be just before the Club and Association Conference.
Yes, the need for a quorum of attendees applies (it's the same for an EGM or an AGM).

Some things I spotted.
"it will apply to all organisations within the UK [getting] grant funding"
So that will be every club then? Maybe some kind soul/paid professional will draft some text we can cut/paste use in our constitutions.
"we do not wish to burden organisations with unnecessary bureaucracy"

By which point it seems pretty much stating the obvious, and we'll comply OK in practice without anyone having to self-declare as transgender. Or similar.

Well, we were proactive about that particular problem - we removed the number requiring a general meeting to be quorate so it wouldn't happen again.

Not quite Graeme. There are different tiers here (with different requirements) NGBs are required to meet Tier 3. Clubs receiving grants are at Tier 1.
