My money's on one of them being recriminations about the screw-up of the levy model which led to them proposing (and us accepting!!) a 10-18% increase for next year

• The resignation of Ed Nicholas following his appointment as British Orienteering Development Manager was noted and he was thanked for his work as a Director during the last two years.
The Board agreed to consider over the next few weeks whether to co-opt a replacement Director.

I suspect a few names were bandied about and approaches being made I wonder if it will be anyone we know.

Shouldn't a replacement director be elected by the membership? (I stand to be corrected but it seems to me that if we need to elect directors at the AGM, we ought to be able to elect any into arising vacancies). Just like you have to have a bye-election when an MP dies or resigns.

Or at least we should confirm any co-option at the next AGM... But maybe they could just ask Scott who stood for election at the AGM so was clearly interested in the position.

Mem & Arts say: 13.4.1 If a Director leaves office after an Annual General Meeting but on or before 31 December of that year, the Board may co-opt a replacement
Director whose term of office will be until the next Annual General Meeting

Consideration of co-opting a replacement for Ed is in the Summary, so don't think it can be one of the "three significant items not included"

The Board can co-opt someone to fill the vacancy until the next AGM, when Ed would have been up for re-election anyway. I would be pretty surprised if they asked me; from a governance point of view I think it would be sensible either to co-opt someone (ideally an ex-Director or ex-member of Management Committee) who already knows the ropes and would want to step down at the next AGM, or, if they can cope with being one short, just to leave the position vacant for the year.

I think you would be exactly the right person to co-opt. I understand the votes were pretty close between you and our new Chairperson (anyone know the exact numbers?) which shows you have more of a mandate than some random old boy who we were probably glad to see the back of anyway

Perhaps we should have a face to face debate with all the potential candidates

If Ed's appointment had come just slightly earlier, all four candidates would have been elected unopposed. Scott therefore seems the obvious person to co-opt.
